任何一种职工参与公司治理机制都是一国特定文化和传统的产物。从公司治理视角出发,一国职工参与公司治理路径的选择尤其要考虑本国的法律传统、本国公司特有的股权结构以及公司治理的路径依赖。在中国的立法文本和法律实践中,职代会的虚置、职工董监事制度设计的不完善和职工持股的异化,致使中国目前职工参与公司治理的力度较弱,但现行的相关制度设计大体上适合中国国情以及中国经济发展状况。未来中国公司立法在把握好职工参与公司治理的度的同时,要努力实现职工参与公司治理目标的准确设定与参与机制的合理安排。具体而言,完善职代会、在国有独资和国有控股企业中完善职工董事、监事制度可能更符合中国历史与现实的选择。
Any mechanism for employees’ participation in corporate governance is a product of the culture and tradition of a specific country. In choosing an approach to employees’ participation in corporate governance in a country,consideration must be given to the legal tradition,the corporate shareholding structure,and the path dependence of corporate governance of that country. In China,because of the mere nominal existence of employees’ congress,the defects in the design of the system of employees’ directors and supervisors,and the alienation of employees’ stock ownership,currently the employees’ participation in corporate governance is relatively weak,although the design of the relevant institutions is,on a whole,suitable for the national conditions and the level of economic development in the country. In the future legislation on employees’ participation in corporate governance,China should provide for appropriate degree,precise objective,and reasonable institutional design of participation. More specifically,improving the employees’ congress system and the system of employee’s directors and supervisors in solely state-owned enterprises and state holding enterprises is perhaps an approach more suitable to the history and reality in China.
