家族企业作为具有久远历史传统的企业组织形态，在世界各国经济发展中都扮演了重要角色。作为世界家族企业及其治理模式的典范之一，意大利家族企业为该国经济、社会发展和文化传承做出了巨大贡献。本文梳理了意大利家族企业的发展历史，勾勒出其发展特点；重点从立法现状、内部治理、政策保障等方面，探讨了意大利家族企业治理模式的内在逻辑、制度优势及法治保障经验；最后讨论了新冠肺炎疫情对意大利家族企业发展的影响。本文旨在为中国完善以家族企业为代表的中小企业治理的法律保障机制，推动由“中国制造”向“中国创造”转型升级提供借鉴。
Family firm，as an enterprise organization with a long history and tradition，plays an important role in economic development of all countries around the world. As one of the models of family business and its governance in the world，Italian family business has made important contribution to the country’s economic，social development and cultural continuity. This article combs the history of the development of Italian family business，outlines its characteristics，discusses the internal logic，institutional advantages and legal protection experience of the Italian family business governance models with focusing on the status quo of legislation，internal governance，policy guarantees，etc. Finally，the article discusses the impact of COVID-19 pandemic on the development of Italian family business. This article aims to provide a reference for China to improve the legal protection mechanism for the governance of small and medium-sized enterprises （SMEs） represented by family business，and to promote the transformation from “Made in China” to “Created in China”.
