目前国内私募股权基金的主要组织模式为公司制和有限合伙制。本文从八个方面对两种基金组织模式进行了系统的比较研究，充分揭示了两种组织模式的优点和缺点，并澄清了实践中的一些关于基金组织模式的错误认识。
At present,there are mainly two types of organization mode of domestic Private Equity Funds (abbreviated as PE hereinafter), namely, company and limited partnership. This article makes a systematic comparative research on these two types of organization mode from 8 aspects, fully disclosing the advantages and disadvantages respectively, and clarifying some wrong opinions in practice on the organization of PE.
