中国内地与香港关于“传销”定义的立法比较研究

非法传销在我国是一个严重的社会问题,需要严厉打击、明令禁止。同时,随着经济发展和社会进步,保护直销企业合法权益、规范直销行业发展,也有着重要的现实意义。然而,现在中国内地法律对“传销”的定义不能很好地满足打击传销、保护直销的需要。因此,本文采取比较研究的方式,对比内地与香港不同时期的立法背景,着力厘清和探讨“传销”和“直销”的概念。同时结合香港亮碧斯公司的案例,分析香港有关传销的立法定义的优点与缺点,期望能从积极、消极两个角度为内地提出如何合理定义传销活动的立法建议。

Abstract

Pyramid selling is one of the most serious social problems in modern China,which should be cracked down and unequivocally prohibited. Meanwhile,with the development of economy and the progress of society,the protection of the legitimate rights of direct selling companies is also of great importance. However,the legal definition of pyramid selling in Chinese law does not completely meet the needs of cracking down pyramid selling and protecting direct selling.Therefore,this article conducts comparative research between the legislation concerning direct selling and pyramid selling of mainland China and Hong Kong and aims to figure out concepts of pyramid selling and direct selling. Then based on the DIGITAL CROWN HOLDINGS (HK) LIMITED case,this article analyzes advantages and disadvantages of the legal definition of pyramid selling in Hong Kong law,and proposes some suggestions from both the positive and negative sides about how to legally define pyramid selling.
